Please read these Technomart User Terms (Terms) carefully before accessing and using the resources and tools on the Technomart service.

These Terms constitute a legal agreement between you (User, you, your) and the Uganda National Council for Science and Technology (UNCST, us, we, our) as the provider of the Technomart Service.

By using the Technomart service, you agree to these Terms. Use includes browsing the Technomart website and accessing or using resources, records, guidance, and tools.

If you disagree with these Terms, please do not use the Service.

Section 1: General

About the Service: Technomart provides centralised access to Uganda's research equipment, STI professionals, and innovations ready for commercialisation. The Technomart service enables searching and connecting across these resources through a single portal. Further service information is available at www.technomartservices.com.

About UNCST: The Service is operated by the Uganda National Council for Science and Technology (UNCST), a government agency created in 1990 by an ACT of parliament, CAP 209 of the laws of Uganda responsible for integrating science and technology into the national development process.

How these Terms Apply: These Terms govern your access and use of the Service.

Privacy Policy: Our Privacy Policy, available at https://technomart-mu.vercel.app/privacy-policy, also applies to your use of the Service.

Changes to Terms: We may update these Terms and the Privacy Policy. Changes are effective immediately upon posting. Review these Terms regularly. Continued use after changes indicates acceptance. We may revoke, withdraw, or amend these Terms without notice.

Changes to the Service: We may update and change our Service. We will try to provide reasonable notice of major changes. We do not guarantee the website or its content will be error-free.

Service Availability: We do not guarantee uninterrupted Service availability. We may suspend or withdraw the Service for business or operational reasons, providing reasonable notice when possible.

Viruses: While we employ secure design, we cannot guarantee a virus/bug-free Service. Use up-to-date browsers and antivirus software.

Section 2: Service Users

Service access is free. Users can search, browse, view, download, and use available resources subject to these Terms.

Section 3: Submitting Information (Equipment, Expertise, Innovations)

To submit information (equipment, expertise, or innovations) to the Service, follow the submission process on the website and complete the relevant form, agreeing to licensing and data processing provisions.

You agree that UNCST may access, store, and use provided personal information per these Terms and the Privacy Policy. Read the Privacy Policy before submitting information.

Section 4: Intellectual Property

Submitted Equipment, Expert, and Innovation Records are made available to Users under a CC0 copyright waiver (https://creativecommons.org/publicdomain/zero/1.0/) or an unconditional license where the waiver doesn't apply. Users may copy, modify, and distribute these Records, even commercially, without permission.

All other website content (excluding submitted Records) is copyrighted to UNCST or licensed to UNCST. Subject to Section 7, we grant you a license to use this content under the terms of https://creativecommons.org/licenses/by/4.0/.

We are not responsible for linked website content; any links do not constitute endorsements.

If any Service content infringes third-party intellectual property rights, we will remove it upon notification. Please report suspected infringements to technomarthelp@uncst.go.ug.

Submitting Institutions must associate submitted Equipment, Expert, and Innovation Records with a CC0 affirmation to enable our use and provision of these Records within the Service.

Section 5: Conditions of Use

All users shall:

• Access and use the Service only by these Terms.

Users shall not:

• Copy any content on the Technomart website except as permitted by these Terms or the license terms applicable to specific Records (Equipment, Expert, Innovation).
• Introduce or spread any virus, Trojan horse, logic bomb, spyware, or other malicious software designed to disrupt computer operations.
• Attempt unauthorised access to the Technomart website, its server, or any connected server, computer, or database.
• Attack the Technomart website via a denial-of-service or distributed denial-of-service attack.
• Act dishonestly or unprofessionally.
• Create a false identity on the Technomart website.
• Misrepresent current or previous positions, professional qualifications, employment, affiliations, or other accreditations.
• Use (or attempt to use) another user's login details (if applicable).
• Link to the Technomart website:
  • In a way that damages UNCST's reputation or unfairly benefits the linking party.
  • In a way that falsely suggests association, approval, or endorsement by UNCST
  • Where UNCST has withdrawn permission to link.
• Sell, rent, lease, redistribute, broadcast, publicly display, transmit, communicate, modify, sublicense, transfer, or assign any part of the Technomart website or user rights under these Terms to any third party.
• Infringe the rights of UNCST or any other user.
• Use the Service or Technomart website unlawfully or fraudulently.

Section 6: Breach of Terms

UNCST may take action against users breaching these Terms, including warnings, access removal, legal action, and reporting to law enforcement.

Section 7: Ownership of Platform Materials

The TechnoMart Platform may contain materials owned by or licensed to the Uganda National Council for Science and Technology (UNCST) that are not subject to the licensing arrangements described in Section 4 above.

Unless explicitly licensed under these Terms, a Creative Commons licence, or other permissible agreements, all content on the Platform shall be assumed to be the proprietary property of UNCST. This includes, but is not limited to:

• Logos, trademarks, and trade names (including the UNCST trademark and TechnoMart branding),
• Specific text, photographic/video content, sound recordings,
• The design, layout, appearance, and graphics of the Platform (“UNCST Materials”).

UNCST Materials are protected under Ugandan intellectual property laws, including the Uganda Copyright and Neighbouring Rights Act of 2019, the Trademarks Act of 2010, and the Industrial Property Act of 2014. You agree not to reproduce, distribute, or use UNCST Materials for any purpose outside the scope of the Platform’s intended use, except as expressly permitted under these Terms or as required by applicable Ugandan law.

Unauthorized use of UNCST Materials may result in legal action under Ugandan law, including claims for infringement, damages, or injunctive relief.

Section 8: Accuracy of Information

We may update the Service and website content. Submitted information may be outdated, and we are not obligated to update it. We do not guarantee error-free content.

Section 9: Continuity of Service

We do not guarantee uninterrupted Service availability. We are not liable for Service unavailability.

Section 10: Liability

I understand that Technomart is a platform that facilitates connections between research equipment holders, experts, innovators and clients and that Technomart is not responsible for the outcome of any client projects.

I agree to indemnify and hold Technomart harmless from any claims or liabilities arising from my use of the platform or my interactions with clients.

Section 11: Accessibility

The Uganda National Council for Science and Technology created this website. As many people as possible are intended to use it. The writing should be in English and easy to read and comprehend.

Section 12: Complaints

TechnoMart is dedicated to giving every user a smooth and satisfying experience. Nonetheless, we acknowledge that problems can occur and have put in place a transparent and effective complaints procedure to deal with them. We see complaints as chances to enhance our offerings and stop such incidents in the future rather than just as issues.

TechnoMart is committed to making sure you are satisfied and cherishes your input.

Section 13: Miscellaneous

• No Partnership: Users acknowledge that these Terms do not create or imply any partnership, joint venture, or trust relationship between UNCST and any User. This platform facilitates connections and showcases innovations, but does not establish formal business partnerships.
• Entire Agreement: These Terms, the Privacy Policy, and the data (Research Equipment, Experts, and Innovation) Submission Forms (including any associated guidelines or requirements) constitute the entire agreement between you and UNCST regarding your use of the TechnoMart platform.
• Invalidity/Enforceability: If any provision of these Terms is deemed invalid or unenforceable under Ugandan law, the remaining provisions will remain in full force and effect.
• No Waiver: UNCST's failure to enforce any provision of these Terms does not constitute a waiver of its rights. Any waiver must be in writing.
• Matters Outside of UNCST's Control: UNCST will not be liable for any failure or delay in performing its obligations due to events beyond its reasonable control, including but not limited to:
  • Strikes, industrial actions.
  • Civil unrest, acts of terrorism, or war.
  • Natural disasters (fires, floods, earthquakes, etc.).
  • Disruptions to transportation or communication networks.
  • Government actions or regulations.
• Notices to You: All communications relating to these Terms will be in English. Notices will be sent to the email address provided by the User during registration or submission.
• Governing Law: These Terms and any disputes arising from them will be governed by the laws of the Republic of Uganda.
• Jurisdiction: The courts of Uganda will have jurisdiction to settle any disputes arising from these Terms or the use of the TechnoMart platform.
